Zovo Cap Table Calculator is a cap table calculator, SAFE calculator and startup dilution calculator. Give your current holders and the next event (post-money SAFEs, pre-money SAFEs, convertible notes with interest, or a priced round with an option pool top-up) and it returns the pro-forma cap table before and after, the price per share, each instrument's conversion price and shares, and each holder's dilution. The circular pool and SAFE math is solved with fraction math, and you get an Excel cap table and a PDF summary.
What it does
- Post-money SAFEs (YC standard) with valuation cap, discount and MFN; pre-money SAFEs
- Convertible notes with simple interest to the conversion date, cap and discount
- Priced round with pre-money valuation, new money and a target option pool topped up in the pre-money (the pool shuffle)
- Conversion price per instrument: the lower of cap price and discount price, both shown
- Fraction math for the circular price, pool and conversion system, rounded to whole shares at the end
- Excel cap table, PDF summary and before/after ownership bars

Limitations
- Illustrative model only, not legal, tax or investment advice; the real SAFE, note and round documents govern
- One priced round per call; liquidation preferences, participation, anti-dilution adjustments and vesting are not modeled
- Note cap prices use fully diluted shares before the round excluding converting securities; some notes define this differently
- Option pool targets refer to the unallocated pool as a percentage of post-money fully diluted shares
